Legal
These terms govern your access to and use of Capto.
By accessing or using Capto and related applications, APIs, and services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Capto provides software tools to help organizations research, qualify, and pursue business opportunities, including government contracting workflows. Features may change over time. We may modify, suspend, or discontinue parts of the Service with reasonable notice when practicable.
You agree not to:
You retain ownership of content you submit to the Service ("Customer Content"), including company profiles, opportunity data, documents, and workflow inputs. You grant Capto a limited license to host, process, and display Customer Content solely to provide and improve the Service for you. We do not use Customer Content to train general-purpose AI models for third parties.
The Service may generate AI-assisted analysis, drafts, scores, and recommendations. Outputs can be incomplete or inaccurate and are provided for informational purposes. You are responsible for reviewing outputs before relying on them for business, legal, or procurement decisions.
Capto and its licensors own the Service, including software, branding, documentation, and non-Customer Content. These Terms do not grant you any rights in our trademarks or underlying technology except the limited right to use the Service as permitted here.
The Service may integrate with third-party providers (for example authentication, hosting, analytics, browser automation, or payment processors). Their terms and privacy practices apply to their services. We are not responsible for third-party services we do not control.
We may offer free trials or paid plans. If you purchase a paid plan, you agree to the pricing, billing cycle, and payment terms presented at checkout or in an order form. Unless otherwise stated, fees are non-refundable except where required by law. We may change pricing with notice for subsequent billing periods.
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only as needed to perform under these Terms, except for information that is public, independently developed, or rightfully received from another source.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT RESULTS WILL MEET YOUR REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPTO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO CAPTO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID ANY FEES.
You will defend and indemnify Capto against claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law, except to the extent caused by our willful misconduct.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if continued access creates legal or security risk. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive.
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes will be communicated by reasonable means when practicable. Continued use after changes become effective constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts in Delaware will have exclusive jurisdiction, except where applicable law requires otherwise.
